Terms of Service
These Terms govern access to Hyponema websites, applications, APIs, widgets, voice sessions, and related services unless a separate written agreement applies.

1. Agreement to these Terms
These Terms of Service are between ENTROPY BAY, S.L., operating under the commercial brand Hyponema, and the person or organization accessing or using Hyponema. By creating an account, using the workspace, calling the API, embedding the widget, or otherwise using the services, you agree to these Terms.
2. Who may use Hyponema
- You must be at least 18 years old and able to form a binding contract.
- If you use Hyponema for an organization, you represent that you have authority to bind that organization.
- You are responsible for users, employees, contractors, agents, and integrations that act through your workspace, API keys, or credentials.
3. Accounts, workspaces, and credentials
- You must provide accurate account and billing information and keep it current.
- You are responsible for protecting login links, API keys, provider keys, webhook secrets, and other credentials.
- You must notify us promptly at [email protected] if you believe a credential, workspace, or account has been compromised.
- We may suspend access when needed to protect the service, other customers, subjects, callers, or the public.
4. Customer content and ownership
As between you and Hyponema, you retain rights to the prompts, agent instructions, knowledge base files, conversation content, call audio, transcripts, memory records, configuration, and other materials you submit or generate through your workspace.
- You grant Hyponema the rights needed to host, process, transmit, display, store, secure, troubleshoot, and provide the services.
- You represent that you have the rights, notices, permissions, and consents needed for the content, voices, phone numbers, recordings, and data you provide.
- Hyponema may use aggregated or de-identified service data to understand reliability, abuse, usage, and product performance, but not to identify your subjects or disclose your confidential workspace content.
5. Voice, telephony, and recording responsibilities
- You are responsible for complying with call recording, telemarketing, autodialing, consent, AI disclosure, caller ID, opt-out, and communications laws that apply to your use case.
- You must provide clear notice when a user is speaking with an AI agent where required by law or by our Acceptable Use Policy.
- You must not use Hyponema to impersonate a real person, public figure, company, government body, or caller without the rights and consent required for that use.
- If you connect Telnyx, Twilio, or another carrier, you are responsible for the carrier relationship, numbers, campaign registration, and permitted traffic.
6. Provider accounts and third-party services
Hyponema lets you connect speech, model, voice, telephony, analytics, storage, and other providers. Your use of those providers may be governed by separate third-party terms.
- You are responsible for provider accounts, keys, limits, billing, usage, and compliance with provider-specific policies.
- Hyponema is not responsible for a third-party provider outage, model behavior, rate limit, policy decision, billing action, or data handling outside Hyponema control.
- When you ask Hyponema to send content to a configured provider, you authorize that transfer for the purpose of providing the service.
7. Privacy and data processing
Our Privacy Policy explains how we process personal information. When we process customer personal data on behalf of a workspace, our Data Processing Addendum applies unless a signed agreement says otherwise.
8. Health, legal, financial, and other regulated use
- Do not submit protected health information unless Hyponema has signed a Business Associate Agreement with you.
- Do not use Hyponema to provide medical, legal, financial, employment, housing, credit, education, insurance, or other high-impact advice or decisions without qualified human review and all required notices.
- You are responsible for validating that your agent, content, workflows, escalations, and disclaimers are appropriate for your industry and jurisdiction.
9. Acceptable use
You must comply with the Hyponema Acceptable Use Policy. We may remove content, restrict traffic, suspend an agent, revoke API keys, or terminate accounts for misuse, safety risk, legal risk, or repeated policy violations.
10. Fees, credits, and previews
- Published pricing applies unless you have a separate signed order form.
- You authorize us and our payment processor to charge applicable fees, taxes, and overages for paid services.
- Beta, preview, and experimental features may change, break, be rate-limited, or be discontinued at any time.
- Unless required by law or stated in a signed agreement, fees are non-refundable.
11. Intellectual property and feedback
- Hyponema and its licensors retain all rights in the platform, software, APIs, designs, documentation, models, prompts, interfaces, and underlying technology.
- You may not reverse engineer, scrape, bypass security controls, resell the service, or build a competing service using non-public Hyponema materials.
- If you provide feedback, you allow Hyponema to use it without restriction or compensation.
12. Disclaimers and limits
Hyponema is provided on an as-is and as-available basis except where a signed agreement states otherwise. We do not guarantee that AI output will be accurate, safe, uninterrupted, error-free, or appropriate for every use case. To the maximum extent allowed by law, Hyponema will not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages.
13. Indemnity
You will defend and indemnify Hyponema from claims arising out of your content, agents, calls, integrations, provider accounts, violation of these Terms, violation of law, or infringement or misuse of another party's rights.
14. Changes and termination
We may update these Terms by posting a revised version. We may suspend or terminate access if you violate these Terms, create legal or safety risk, fail to pay, or materially harm the service or other users. You may stop using Hyponema at any time.
